These Terms and Conditions ("Terms") govern your use of NiuginiHR, a Human Resource Record Management System provided as Software-as-a-Service (SaaS) by NiuginiHR Ltd ("we", "us", "our"). By accessing or using our platform, you agree to be bound by these Terms.

1. Definitions
• "Client" means the organization that subscribes to NiuginiHR.
• "User" refers to any individual authorized by the Client to access the system.
• "Platform" means the NiuginiHR SaaS web-based HR management solution.
• "Data" refers to employee or company data entered or uploaded into the system by the Client.

2. Account and Access
• Clients are responsible for maintaining the confidentiality of login credentials.
• Clients control user access levels and must ensure proper authorization for each user.
• Misuse of the system, including unauthorized access, may result in account suspension or termination.

3. Subscription and Payment
• Subscription fees are billed based on the plan selected.
• Payments are due as agreed in the subscription plan (monthly, annually, etc.).
• Late or failed payments may result in restricted access or suspension.
• No refunds will be issued once services are rendered, except under conditions specified in our [Refund Policy].

4. Data Ownership and Protection
• All data entered by the Client remains the property of the Client.
• NiuginiHR acts as a data processor and will not access or use client data except to deliver services or as required by law.
• Upon termination, clients may export their data within 30 days. Data will be deleted from our servers after 60 days.

5. Acceptable Use
Clients and users must not:
• Use the platform for illegal or harmful activities.
• Attempt to access or interfere with another client’s data.
• Reverse-engineer or modify system components.
• Upload malicious code or viruses

6. Service Availability and Support
• NiuginiHR aims to provide 99.5% uptime, excluding scheduled maintenance.
• Technical support is available during standard business hours via email or support ticket.
• We reserve the right to make updates or enhancements to the platform at any time.

7. Termination
• Either party may terminate the subscription with 30 days' written notice.
• NiuginiHR may terminate or suspend service if the Client breaches these Terms or fails to pay.
• Upon termination, all rights to access the platform cease.

8. Intellectual Property
• All intellectual property rights in the platform, branding, and software remain the property of NiuginiHR.
• Clients may not copy, reproduce, or distribute any part of the platform without written permission.
